Red Hat ES4 Guest "Fatal Processor Error"

I am running Virtual Server 2005 R2 SP1 on a Windows Server 2003 Enterprise
Edition host. I have 4 other Windows Server 2003 guests running on this
server. I am attempting to load a Red Hat ES4 (Update 3) Guest. The install
went fine, everything looked good. After the installation, the OS reboots and
goes through it's startup sequence. Jsut before it gets to the point where I
can log into the machine, it reboots itself. This cycle jsut continues
infinitely until I jsut shut down the guest. The reason for the reboot I
found in the Event Log on the host:

Event Type: Error
Event Source: Virtual Server
Event Category: Virtual Machine
Event ID: 1054
Date: 6/3/2008
Time: 5:45:04 PM
User: DOMAIN\username
Computer: HOSTSERVER
Description:
"GUESTSERVER" experienced a fatal processor error and has been reset.

I looked at the documentation and noticed Update 3 is not supported. I
reinstalled with Update 4 and I still have the same problems.

By default, no. I am able to boot into single user mode now that you mention
it. From what I can see during the boot sequence, it fails during the
hardware initialization. It gets through the "Storage Network Audio" ok, but
as soon as it starts on the "Configuring kernel parameters" that is where is
seems to fail.

Also, I noticed during boot there is an error "Legacy free FADT detected but
FADT size (129) is incorrect". The only thing I found on this was to "Add
Extra Tables for ACPI 2.0 Support" in the BIOS. I have no idea if this has
any bearing on the fatal processor issue or not.

Also, jsut to give you an idea here, the host server is a Dell PE2900 with
Dual QuadCore Xeon processors.

I have tried booting to both the SMP and non-SMP images from the GRUB menu
with no luck.

Just installed rhel 4 update 7 had same issue booted to single user mode and changed the init.d file to got init 3 boots fine now.
also went in the Bios and turned off the ACPI under the power management to cleat up the legacy error issue.
